With only vague plans for two new Meego smartphones and a loose commitment from Nokia in its pocket, nervy startup Jolla went ahead and signed its first sales channel -- Chinese retailer D.Phone. The company made the announcement by Twitter, since it doesn't even have a website yet, calling itself a "rising smartphone product company," and saying that it will use D.Phone's 2,000 stores to sell the as-yet nonexistent handsets to Chinese consumers. It also confirmed that the first device would launch later this year featuring a fresh version of MeeGo, though the company didn't discuss dates or any new features that the new OS version might pack. For a mobile platform that was on death's door, it may have just been gifted a possible reprieve -- provided Jolla can build phones to match its ambitious plans.

Human Genome agrees to GlaxoSmithKline takeover

(AP) ? U.K. drug maker GlaxoSmithKline has secured its takeover of longtime partner Human Genome Sciences after agreeing to pay more, a move to expand GSK's drug portfolio in crucial areas: biologic drugs and treatments for the hundreds of millions of people with diabetes and heart disease.

The two companies said Monday that GSK will pay $3.6 billion, or $14.25 per share, for the U.S. biotechnology company. Directors of both companies have approved the deal.

Human Genome Sciences, based in Rockville, Md., agreed to the acquisition following a prolonged battle in which it had put up a "poison pill" defense. That would have diluted holdings if anyone attempted to acquire 15 percent or more of Human Genome stock without board approval.

The final price is up from GSK's previous offer of $13 per share, and almost double the $7.17 closing price for Human Genome shares on April 18, the last trading day before Glaxo's initial offer was publicly disclosed.

"This is a natural next step in our nearly 20-year relationship with HGS, and we look forward to working with HGS to integrate our businesses and to realizing the full value" of its approved and experimental drugs, GSK Chief Executive Sir Andrew Witty said in a statement.

Under the agreement, GSK gains full ownership of two experimental drugs plus Human Genome's only marketed medicine, Benlysta.

That's the first new drug approved in about 50 years for lupus, a chronic immune disorder believed to affect about 5 million people around the world. Most other treatments either simply reduce inflammation and pain, take months to improve symptoms or can cause a host of significant side effects.

Benlysta, a biologic drug produced in living cells, is meant to block or limit immune system attacks on the patient's cells and tissue, which cause inflammation and damage to organs. The drug contains a substance that reduces the number of a type of white blood cells believed to be involved in causing that damage.

"Glaxo is smarter than the whole industry," said analyst Steve Brozak of WBB Securities, noting the deal shows GSK knows it must increase sales and the profit margin for Benlysta.

"It realizes more than its competitors that it must also access the broadest biotech pipeline," for which Human Genome is well known, he added.

The deal also brings GSK two promising experimental drugs in late-stage human testing, albiglutide for Type 2 diabetes and darapladib, a heart drug being tested for prevention of stroke and heart attack.

Diabetes and heart disease are both core areas for GSK that once were lucrative but have seen revenue plunge due to generic competition or safety questions.

Two older GSK heart drugs, Coreg and Arixtra, now have only a few hundred million dollars in annual sales due to generic competition, and its anticlotting medicine Fraxiparine produced just under $100 million in first-quarter sales.

Meanwhile, GSK's key diabetes drug, Avandia, had been a blockbuster until it was linked to risk of heart attack. That led to sales being banned in the European Union and severely restricted in the U.S.

GSK's higher offer followed news of positive results on albiglutide from a study of cardiac safety ? an issue that's now crucial for winning U.S. approval of many types of new drugs, including for diabetes.

Last week, GSK said it planned early next year to apply for approval of albiglutide, which helps control both blood sugar and appetite, helping diabetics lose weight. The drug is in the same class, GLP-1 agonists, as two popular injected diabetes drugs, Byetta and Bydureon.

"After a thorough analysis of strategic alternatives, HGS has determined that a combination with GSK is the best course of action for our company and the best way to maximize value for our stockholders," H. Thomas Watkins, president and CEO of HGS, said in a statement.

GlaxoSmithKline said it expects the deal to add to core earnings beginning next year and to produce at least $200 million in cost savings by 2015. The company said the deal will not disrupt its current program to repurchase shares worth 2 billion to 2.5 billion pounds, or $3.1 billion to $3.9 billion, in 2012.

Earlier this month, GSK agreed to pay the U.S. government $3 billion in fines ? the largest health care fraud settlement in U.S. history ? for criminal and civil violations involving improperly marketing and concealing the risks of medicines taken by millions of patients, including Avandia.

GlaxoSmithKline shares rose 30 cents to close at $45.30 Monday. Human Genome shares jumped 61 cents, or 4.5 percent, to close at $14.19.

MANATEE COUNTY - The investigation into whether State College of Florida President Lars Hafner forged signatures on college documents became a formal criminal probe Friday after the case was referred to the Florida Department of Law Enforcement.

College trustees last month reported Hafner to the Commissioner of Education after a former employee claimed in an affidavit that Hafner forged the signature of former BOT Chairman Steve Harner. The former employee saved a document that appears to show Hafner practicing the signature before signing it.

Hafner admits he signed Harner's name on a few occasions but said he had permission from the Venice restaurant and marina owner.

Nonetheless, the Florida Inspector General's office felt the case was serious enough to warrant an investigation by the FDLE, which can bring criminal charges.

"If the Inspector General identifies potential criminal activity, then they turn that over to law enforcement," said Gretl Plessinger, a spokeswoman for FDLE.

Plessinger said it is not known how long the investigation will take.

According to the affidavit sent to the state, Hafner replicated Harner's squiggly signature on a 2010 grant application that secured $325,000 in state startup funds for SCF's charter school.

Harner confirmed in an affidavit this month that he had given Hafner permission to sign his name at least two times but told the Herald-Tribune that he could not specifically remember if it was for that particular document.

Hafner claimed in a meeting that the investigation was an attempt by SCF Board Chairman Carlos Beruff to remove him from the college, a claim Beruff denied.

In addition to Hafner's reputation, at stake is whether trustees can fire Hafner without paying him roughly $1.1 million in salary and benefits for the remaining four years of his contract.

Hafner's contract states that trustees must honor that unless he pleads guilty to a felony or is found guilty of a crime involving "moral turpitude"

Local attorneys were divided on whether Hafner's duplication of Harner's signature was unethical, although most said it was bad practice to sign a document without indicating it was "by authority" of another person.

But Lee Haas, a Clearwater business attorney, said an affidavit that Harner signed saying he gave Hafner permission would serve as an after-the-fact ratification of signing authority.

Attorneys indicated that prosecutors would have to show Hafner benefitted personally from duplicating Harner's signature to convict him of criminal forgery.

New Construction Starts to Rise 2% in 2012

NEW YORK,?NY -?McGraw-Hill Construction,?part of The McGraw-Hill Companies,?today released its 2012 Dodge Construction Outlook Midyear Update projections, which revise the forecasts provided last October at the firm's annual Outlook Conference in Washington DC. The Outlook Midyear Update predicts that total construction starts for the U.S. will increase 2% this year to $445 billion, up from the $434 billion reported for 2011. While slightly better than the flat performance for 2012 construction starts predicted last fall, the updated forecast still portrays an industry struggling to gain upward momentum.

"The construction industry has yet to move from a hesitant up-and-down pattern to more sustained expansion," stated Robert A. Murray, Vice President of Economic Affairs for McGraw-Hill Construction. "After plunging 23% in 2009, new construction starts edged up only 1% in 2010 and were unchanged in 2011, so the modest 2% increase predicted for 2012 is really more of the same. The backdrop for the construction industry remains the fragile U.S. economy, which continues to see slow employment growth, diminished funding from federal and state governments, and the uncertainty related to the U.S. fiscal stalemate and the European debt crisis. On the plus side, energy costs are now receding, interest rates are very low, and lending standards are beginning to ease for commercial real estate development." Given these divergent factors, the construction market this year continues to see a mix of pluses and minuses by major sector, as follows:

Single family housing in 2012 will advance 21% in dollars, corresponding to a 19% increase in the number of units to 490,000 (McGraw-Hill Construction Dodge basis). While still at a very low amount, single family housing for the past year has been able to register small yet steady gains.

Multifamily housing in 2012 will climb 19% in dollars and 18% in units, given rising occupancies and rents, which reflect elevated demand from potential homebuyers still reluctant or unable to move ahead with purchasing a single family home.

Commercial building in 2012 will grow 10%, following the 12% gain in 2011. Warehouses and hotels will see the largest percentage increases, joined this year by a moderate gain for stores while office construction sees more privately financed projects but less government office buildings.

The institutional building market in 2012 will fall an additional 10%, after sliding 11% in 2011. The tough fiscal environment for states and localities continues to dampen school construction, and the uncertain economic environment is restraining healthcare facilities.

The manufacturing building category in 2012 will retreat 20%, following the 75% jump in 2011 which featured the start of several unusually large projects.

Public works construction in 2012 will slide a further 6%, after last year's 14% decline. This reflects government spending cuts and the absence of a multiyear federal transportation bill.

Electric utility construction in 2012 will essentially hold steady with its exceptionally strong 2011 amount, helped by this year's start of two large nuclear power projects.

Not surprisingly, Google will have some accessories for its new Nexus 7 tablet, including a cover that also leaked out a bit early though Google Play (and spotted by MoDaCo's Paul O'Brien). As you can see, it will cover both the front and back of the device, and set you back a fairly reasonable $20. Available at least in dark grey, it has a matte (seemingly textured) finish, and provides access to both the tablet's headphone jacket and charging port.
